Terms and Conditions of Use

Welcome to the Sterling Academy of Dramatic Arts website. By accessing and using this website (the "Site"), you agree to be bound by these Terms and Conditions of Use (the "Terms"). If you do not agree with these Terms, please do not use the Site.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Sterling Academy of Dramatic Arts ("Sterling Academy," "we," "us," or "our"). We reserve the right to change, modify, or revise these Terms at any time, and you agree to be bound by any such changes, modifications, or revisions. It is your responsibility to review these Terms periodically for updates. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes.

You agree to use the Site only for lawful purposes and in a manner that does not infringe upon the rights of, or restrict or inhibit the use and enjoyment of, the Site by any third party. You are responsible for complying with all local, state, national, and international laws and regulations applicable to your use of the Site.

3. Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, software, and other material (collectively, the "Content") is the property of Sterling Academy or its licensors and is protected by copyright, trademark, patent, or other proprietary rights. You may not use, reproduce, modify, distribute, transmit, display, perform, or create derivative works of any Content without the express written permission of Sterling Academy.

The Sterling Academy of Dramatic Arts name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Sterling Academy or its affiliates or licensors. You may not use such marks without the prior written permission of Sterling Academy.

4. User Contributions

The Site may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Site.

All User Contributions must comply with the Content Standards set out in these Terms. Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Site, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

You represent and warrant that: (a) You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns. (b) All of your User Contributions do and will comply with these Terms.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not Sterling Academy, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

We have the right to: (a) Remove or refuse to post any User Contributions for any or no reason in our sole discretion. (b) Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Site or the public, or could create liability for Sterling Academy. (c) Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy. (d) Terminate or suspend your access to all or part of the Site for any or no reason, including without limitation, any violation of these Terms.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Site.

5. Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not: (a) Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable. (b) Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age. (c) Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person. (d) Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and our Privacy Policy. (d) Be likely to deceive any person. (e) Promote any illegal activity, or advocate, promote, or assist any unlawful act. (f) Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person. (g) Impersonate any person, or misrepresent your identity or affiliation with any person or organization. (h) Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising. (i) Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

6. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. STERLING ACADEMY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. STERLING ACADEMY DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE CONTENT IN TERMS OF ITS ACCURACY, RELIABILITY, OR OTHERWISE.

7. Limitation of Liability

IN NO EVENT SHALL STERLING ACADEMY BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR THE CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF STERLING ACADEMY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

8. Indemnification

You agree to indemnify, defend, and hold harmless Sterling Academy, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or in connection with your use of the Site, your User Contributions, or your violation of these Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in a federal or state court of competent jurisdiction sitting in New York, New York.

10. Termination

Sterling Academy reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice.

These Terms constitute the entire agreement between you and Sterling Academy with respect to your use of the Site. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Sterling Academy's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign these Terms without the prior written consent of Sterling Academy. Sterling Academy may assign these Terms, in whole or in part, at any time without notice to you.
